一、协议的接受
本《用户协议与免责声明》（以下简称「本协议」）是您与杭州潘达工房科技有限公司（英文品牌：Panda Studio，以下简称「我们」或「开发者」）之间关于使用 保管（PolicyPal） 移动应用程序（以下简称「本应用」）的法律协议。
点击「同意并继续」、安装或使用本应用，即表示您已阅读、理解并同意受本协议及《隐私政策》约束。若您不同意，请勿使用本应用。
二、服务说明
2.1 本应用是什么
本应用是一款人工智能辅助工具软件，帮助用户整理、阅读和理解已有保单相关材料，并通过用户自行配置的大模型 API 提供自然语言问答与文本分析功能。
2.2 本应用不是什么（重要）
开发者不是且本应用不代表：任何保险公司、保险经纪机构、保险代理人或保险公估机构；任何持牌证券、基金或投资顾问；任何可代为办理投保、退保、理赔、核保的中介服务。
本应用不提供保险产品销售、方案推荐、代客索赔或向保险公司提交材料等服务。
三、人工智能与内容免责声明
3.1 AI 生成内容的性质
本应用中的解读、摘要、问答等文本由人工智能模型自动生成，基于您提供的材料与提问，仅供一般性参考与学习，不构成：法律意见或法律建议；投保、续保或退保建议；核保结论或理赔承诺；对任何保险公司条款的官方解释。
3.2 准确性与责任
AI 输出可能存在遗漏、误解、过时或不完整。保险条款以保单原文及承保公司官方说明为准。对于因依赖 AI 输出而作出的投保、就医、报案、理赔或其他决定，相关风险与后果由您自行承担。
3.3 第三方 AI 服务
您需自行选择大模型服务商、申请 API Key 并遵守其服务条款与费用规则。向该服务商发送的内容（包括保单摘录）由您授权，相关责任按该服务商条款及适用法律处理。
四、您的责任与合法使用
您同意：
1. 仅将本应用用于合法、正当目的；
2. 上传的材料为您有权使用的内容，不侵犯他人隐私或知识产权；
3. 妥善保管设备、API Key 及本地数据；
4. 不利用本应用从事欺诈、虚假宣传、冒用持牌机构名义等活动；
5. 重要事项（尤其是保险、医疗、法律与财务决策）咨询持牌专业人士。
五、知识产权
本应用及其界面、代码、文档（除用户内容外）的相关知识产权归开发者或权利人所有。未经授权，不得复制、修改、反向工程或用于商业再分发。
您保留对您上传材料的所有权；您授予开发者仅为在本设备本地提供功能所必需的处理权限（不意味着开发者服务器存储，见《隐私政策》）。
六、服务变更、中断与终止
我们可能：更新、调整或终止本应用的部分或全部功能；因维护、合规或不可抗力暂停服务。
您可随时停止使用并卸载本应用。卸载后，本地数据通常将被删除（以系统行为为准）。
七、免责与责任限制
在适用法律允许的最大范围内：
1. 本应用按「现状」和「可用」基础提供，不提供任何明示或默示的保证；
2. 开发者不对因使用或无法使用本应用、AI 输出错误、第三方 API 故障、数据丢失等造成的间接、附带、特殊或后果性损害承担责任；
3. 开发者不对第三方 AI 服务商的行为、收费或政策变更负责。
本条款不排除依法不得排除的消费者权利。
八、隐私
个人信息与数据处理规则见《隐私政策》（与本协议具有同等效力）。使用本应用即表示您同时同意《隐私政策》。
九、协议变更
我们可能修订本协议。更新后将在应用内或通过其他合理方式通知您。若您继续使用本应用，即视为接受修订后的协议。
十、适用法律与争议
本协议的订立、执行与解释适用中华人民共和国大陆地区法律（不含冲突法规则）。
因本协议引起的争议，双方应友好协商；协商不成的，提交开发者住所地有管辖权的人民法院诉讼解决。

Terms of Service and Disclaimer
This is the full in-app version and can be read without an internet connection. The online URL registered with app stores is for record-keeping only.
1. Acceptance
These Terms of Service and Disclaimer ("Terms") are between you and Hangzhou Panda Studio Technology Co., Ltd. (Panda Studio, "we" or "the developer") regarding PolicyPal (保管) ("the App").
By tapping "Accept and continue", installing, or using the App, you agree to these Terms and the Privacy Policy. If you do not agree, do not use the App.
2. Service description
2.1 What the App is
The App is AI-assisted software to organize, read, and understand policy materials you already have, and to provide Q&A and text analysis via an LLM API you configure.
2.2 What the App is not
We are not an insurer, broker, agent, adjuster, or licensed investment adviser. The App does not sell insurance, recommend products, file claims, or submit materials to insurers on your behalf.
3. AI and content disclaimer
3.1 Nature of AI output
Interpretations, summaries, and answers are generated by AI from your materials and questions. They are for general reference only and are not legal, underwriting, or claims advice, nor official insurer interpretations.
3.2 Accuracy
AI output may be incomplete or wrong. Policy wording in the original documents and official insurer statements prevail. You bear the risk of decisions based on AI output.
3.3 Third-party AI
You choose the LLM provider, obtain an API key, and accept their terms and fees. Content you send (including policy excerpts) is authorized by you; liability follows their terms and applicable law.
4. Your responsibilities
You agree to:
1. Use the App lawfully;
2. Upload only content you may use, without violating privacy or IP rights;
3. Safeguard your device, API key, and local data;
4. Not use the App for fraud or to impersonate licensed institutions;
5. Consult licensed professionals for important insurance, medical, legal, or financial decisions.
5. Intellectual property
The App, its UI, code, and documentation (excluding your content) belong to the developer or licensors. You may not copy, modify, reverse engineer, or redistribute commercially without permission.
You retain ownership of materials you upload. You grant only the local processing necessary to run features on your device (see the Privacy Policy).
6. Changes, interruption, termination
We may update, adjust, or discontinue features, or suspend service for maintenance, compliance, or force majeure.
You may stop using and uninstall the App at any time. Local data is usually removed on uninstall (subject to the OS).
7. Disclaimer and limitation of liability
To the maximum extent permitted by law:
1. The App is provided “as is” and “as available” without warranties;
2. We are not liable for indirect or consequential damages from use, AI errors, third-party API failures, or data loss;
3. We are not responsible for third-party AI providers’ conduct, fees, or policy changes.
Nothing here excludes non-waivable consumer rights.
8. Privacy
Personal information handling is described in the Privacy Policy, which has equal effect. Using the App means you also accept the Privacy Policy.
9. Changes to these Terms
We may revise these Terms and will notify you reasonably (including in-app). Continued use means you accept the revised Terms.
10. Governing law and disputes
These Terms are governed by the laws of mainland China (excluding conflict-of-law rules).
Disputes shall first be resolved through negotiation; failing that, they shall be submitted to the courts with jurisdiction at the developer’s domicile.
